Biography: Before joining FSB, Todd was the national ESOP Team Leader for Holland & Knight. Todd currently practices in the areas of leveraged ESOPs, mergers and acquisitions, financial transactions, and business exit strategies. Todd is experienced in various corporate acquisition and financing methods and structures, including special purpose bankruptcy remote structures for securitized transactions and ESOP financing and structures.
Todd is a member of the American and Atlanta Bar Associations and the National Center for Employee Ownership and was named a "Super Lawyer" in mergers & acquisitions by Georgia Trend Magazine in 2010.
Representative Transactions Include:
- Represented the Company, a manufacturer of licensed-brands of sports apparel, in the reorganization and recapitalization of the company and affiliates, and subsequent leveraged-ESOP transaction for the transfer of $120,000,000 of Class B ESOP Convertible Preferred Stock.
- Represented the Acquirer and issued an opinion as to substantive consolidation in connection with the assumption by the Acquirer of $21,500,000 in structured indebtedness secured by a shopping mall.
- Represented the Company, a leading manufacturer of decorative towels, in the reorganization and recapitalization of the company and affiliates, and subsequent leveraged-ESOP transaction for the transfer of $40,000,000 of Class B ESOP Convertible Preferred Stock.
- Represented the Company, a leading provider of interior/exterior landscape for office buildings, in the S-corporation consolidation and reorganization of multiple operating companies, and subsequent leveraged-ESOP transaction for the transfer of Convertible Preferred Stock of the holding company for several operating entities ($7,700,000 transaction value).
- Represented the Trustee (Corporate Fiduciary) in the reorganization and recapitalization of an electronics manufacturer, and subsequent leveraged-ESOP transaction for the transfer of $200,000,000 of Class B ESOP Convertible Preferred Stock.
- Represented the Trustee (Corporate Fiduciary) in the S-corporation consolidation and reorganization of multiple real estate management companies, and subsequent leveraged-ESOP transaction for the transfer of Common Stock of the holding company for serveral operating entities ($19,700,000 transaction value).
- Represented the Borrower in obtaining $290,000,000 in revolving, term and private placement credit.
